Company registration
We help one or more legal persons (which includes individuals, companies, government-owned entities, non-profit organizations, and other legal persons excluding an unincorporated Trust) can form a company by subscribing their names to a memorandum of association.

Management of share registry
We will handle the allotment and transfer of shares, ensuring that all transfers of shares comply with the Company's Articles and the Companies Act, alteration of share capital (including the increase of nominal share capital, consolidation, and subdivision of shares), and issuing of share certificates where applicable.

Filing annual returns
Preparation and filing of Annual Returns to the Registrar of Companies on the anniversary of the incorporation of the Company and subsequently on the last filed Annual Return.

Custody of company seal and secretarial documents
Keeping the company seal in safe custody (on request) and ensuring use as specified in the Articles of Association, ensuring that all Company transactions that are required to be executed under seal are appropriately executed, and keeping the company’s secretarial documents in safe custody.

Board and board committees meetings
Liaison with the Chair of the Board or a Board Committee to prepare meeting notices and agendas, prepare and distribute meeting packs or papers, attend meetings and take minutes, draft and/or extract resolutions and action points from minutes as appropriate for execution and implementation, and to maintain and update records of minutes and resolutions.

Shareholder meetings
We will ensure that Annual General Meetings (AGMs) are held annually and in accordance with the provisions of the Company's Articles of Association and the Companies Act, 2015, by preparing the notice, agenda, and shareholder packs, attending the AGM and taking minutes, drafting and/or extracting resolutions and action points from minutes as appropriate for execution and implementation, and maintaining and updating records.

Corporate governance
We provide general advisory services and the implementation of corporate governance best practices, including the preparation and monitoring of the Board Charter and Code of Conduct, the establishment of terms of reference for Board Committees, and assistance with Board composition and Directors Induction.
